Unregistering them first will keep the Windows Registry clean by removing the relevant CDDB keys & strings.

When you uninstall Winamp, it automatically unregisters those Gracenote DLLs (using the same command line method).
However, if those DLLs aren't present, then it won't be able to unregister them.

Other than that, I guess there'd be no real harm just deleting the folder...
