I'm not sure if this relates to your problem, but...
I had a similar problem with my machine rebooting (Win98 and ME both). Whenever the soundcard was playing, and I tried to play DirectX games, or let power management startup, the machine would immediately reboot. It had nothing to do with winamp. It would happen when any windows program was using the soundcard for anything except CD audio.
I shuffled soundcard drivers, and eventually found one that eliminated the reboot; but this caused headaches in other areas. When I changed soundcards from a cheap Yamaha YMF-724 to a Soundblaster Live, the problem stopped.
Try reproducing the problem with some other player (windows media, real player, etc...) and see if it does the same thing. If so, then I'd check my soundcard drivers.
