If I download the new winamp, will it nix out the winamp that I have now?

Not if you install it in a different directory.

define "nix"
if you mean replace, yes. (the exe will be replaced anyways)
but your plugins will be kept and the settings they are in will be kept.
plugins, such as the mp3 decoder and such, will be replaced with newer version.

If you wish to keep these, simply move them out of the plugin folder and move them back when you install the newer version of winamp.
